Terms of Service

1. Acceptance of Terms

By accessing or using the VyaparPing platform ("Service"), available at https://www.vyaparping.com and https://app.vyaparping.com, operated by Artificial Wit Technologies Pvt. Ltd., you agree to be bound by these Terms of Service and all applicable Meta Platforms, Inc. WhatsApp Business Solution Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree, you may not use the Service.

2. Description of Service

VyaparPing is a WhatsApp CRM platform that gives businesses a shared team inbox, broadcast scheduling, a no-code chatbot flow builder, an optional AI agent, and developer APIs — built on the official Meta WhatsApp Cloud API. We reserve the right to modify, add, or remove features of the Service at our discretion, and will make reasonable efforts to notify you of any change that materially affects your use of it.

3. Accounts and Registration

You must provide accurate and complete information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. If you become aware of any unauthorized use of your account, notify us immediately at hello@buildframe.tech.

4. Meta WhatsApp Cloud API & Account Ownership

VyaparPing operates as an official WhatsApp Tech Provider, not a reseller. You maintain direct account ownership of your Meta Business Manager and WhatsApp Business Account (WABA). All per-conversation messaging costs are billed directly by Meta Platforms, Inc. to the payment method on file in your Business Manager. VyaparPing does not levy any markup on official Meta conversation rates.

5. Subscription Plans and Billing

VyaparPing offers Starter, Growth, and Scale software subscription plans, billed monthly or annually as described on our Pricing page. New signups receive a 14-day free trial on the Growth or Scale plan before any subscription charge occurs. Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand from your dashboard settings; cancellation takes effect at the end of the current billing cycle, and software fees already paid are non-refundable except where required by law. Meta conversation charges for outbound marketing, utility, or authentication messages are billed separately by Meta and are subject to Meta's own published terms — VyaparPing cannot refund Meta's conversation charges under any circumstance.

6. Acceptable Use & Anti-Spam Compliance

You agree to only send WhatsApp broadcast messages to recipients who have given explicit, verifiable prior opt-in consent, in accordance with Meta's WhatsApp Commerce & Business Policies and TRAI DLT guidelines where applicable in India. Uploading or messaging a purchased, scraped, or otherwise non-consented contact list is strictly prohibited. You further agree not to: reverse engineer or attempt to extract the source code of the Service; use the Service to build a competing product; probe, scan, or test the security of our systems without written authorization; or transmit illegal, harassing, deceptive, or unsolicited bulk content. Violation of this section constitutes grounds for immediate account suspension or termination without refund.

7. Green Tick Verification Disclaimer

Official Green Tick (Official Business Account badge) verification is granted exclusively at the sole discretion of Meta Platforms, Inc., based on Meta's own notability and eligibility criteria. VyaparPing provides free application assistance and configuration guidance but cannot guarantee Meta's approval outcome.

8. Intellectual Property

VyaparPing retains all right, title, and interest in and to the Service, including its software, chatbot flow templates, design, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own business purposes; they do not grant you any ownership interest in the Service itself.

9. Your Data

You retain full ownership of your Customer Message Data — the contacts, conversation history, and chatbot flow content you or your customers submit through the Service. You grant VyaparPing a limited license to process this data solely to provide and improve the Service to you. Customer Message Data is never used to train third-party foundation models. 10. Termination

You may stop using the Service and cancel your subscription at any time from your dashboard settings. We may suspend or terminate your account, with or without notice, if you breach these Terms, misuse the Service, or engage in activity described in Section 6. Sections of these Terms that by their nature should survive termination — including Sections 8, 9, 11, and 12 — will remain in effect.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. AI Agent responses are generated by a large language model and may occasionally be inaccurate or incomplete — you are responsible for reviewing AI-generated content before relying on it for business-critical decisions. To the maximum extent permitted by law, VyaparPing's total liability arising out of or relating to the Service is limited to the software fees you paid us in the twelve (12) months preceding the claim.

12. Governing Law

These Terms are governed by the laws of India, and the courts located in Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Service before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
